Care Plan Terms
This is the current version. A permanent copy of version 1.2 is kept at solmedia.com.au/studio/care-plan-terms/v1.2.
These terms are written in plain English. They apply if you choose the care plan, alongside the Website Build Terms and the Direct Debit Schedule.
1. About the care plan
1.1 The care plan is an optional monthly service from Sol Media (ABN 46 930 759 486) ("we", "us"). You ("you") are the person or business named in your quote.
1.2 It is month to month. There is no minimum term and no lock-in contract. It does not renew for a fixed period. You can cancel anytime (clause 6).
1.3 It is not required. You own your website whether or not you keep the care plan (clause 10).
1.4 Nothing in these terms takes away any right you have under the Australian Consumer Law (ACL) or other law that cannot be excluded.
2. What the care plan includes
2.1 Hosting. We host your Studio website on our hosting platform and keep it online, secure and backed up.
2.2 Technical updates. We keep your website's software, security and hosting up to date.
2.3 Content updates. Unlimited small content updates. A small update is a quick edit to what is already on your website, for example changing opening hours, a price or a paragraph, or swapping a photo you supply. We aim to complete each one within 2 business days.
2.4 Backups. We back up your website daily and keep each backup for 30 days.
2.5 Monitoring and fixes. We check that your website is online every 5 minutes. If something we control breaks, we fix it as quickly as we reasonably can.
2.6 Support. Email mail@solmedia.com.au. We reply the same day to requests sent by 3pm on a business day. Requests sent later are answered the next business day.
2.7 Sol Media is one founder, a team of associates and AI agents, and a person reviews the work before it reaches you. We use AI tools to help do it.
3. What the care plan does not include
3.1 New pages, new features, a redesign, or new sections beyond your package. We quote these separately before doing them.
3.2 Bolt-ons: e-commerce, email marketing setup and SEO setup. We quote each one in writing before any work starts.
3.3 Editing new photos with AI beyond a simple swap. Extra photo edits are $20 + GST ($22 including GST) each.
3.4 Your domain name registration and renewal, and the cost of any third-party tools or services you choose. Those are paid to the provider.
3.5 We do not guarantee search rankings, website traffic or sales.
4. Price and billing
4.1 The care plan costs $50 + GST per month ($55 including GST).
4.2 We bill monthly in advance, on the same date each month as your handover date, starting on the day of handover. In a month without that date, we bill on the last day of the month. If you are on a Payment Plan, the care plan debit starts after handover and runs alongside your remaining instalments.
4.3 We email a tax invoice for each payment.
4.4 The price only changes as set out in clause 9.
5. Direct debit
5.1 Care plan payments are taken by direct debit from your Australian bank account, using the Direct Debit Request you set up in our payment provider's direct debit form.
5.2 The Direct Debit Schedule explains the amounts, dates, notices and how to change or stop a debit. It forms part of this agreement.
6. Starting and cancelling
6.1 The care plan starts when you have accepted these terms and your first care plan payment clears. You accept them by signing a quote that includes the care plan, with these terms attached, in the same way as clause 1.3 of the Website Build Terms, including confirming you are authorised to accept for your business.
6.2 You can cancel anytime by emailing mail@solmedia.com.au. There is no cancellation fee.
6.3 Billing stops at the end of the month you have paid for. We do not charge you again.
6.4 To stop a direct debit we need at least 7 business days before the debit date. If you cancel and a debit is already too close for us to stop, we refund it in full within 5 business days.
6.5 Moving your website. We keep your website online for 30 days after your last invoice so you can move it. We send you your files and include one migration to a host or platform you choose. After the 30 days, we may take your website offline after giving you 7 days' written notice.
6.6 If you cancel, your website stays yours. Clause 10 applies.
7. If we need to end the care plan
7.1 We may end the care plan by giving you at least 30 days' written notice.
7.2 If we do, we refund any part of a month you have paid for and not received, keep your website online for the 30 days, and help you move it, including one migration.
7.3 We may suspend or end the care plan sooner if your website breaks the law or puts other people at risk. We tell you why and what we need from you, unless the law stops us.
8. If a payment fails
8.1 If a payment fails, we email you the same business day. We try the debit once more after 5 business days.
8.2 If it is still unpaid, we send a reminder and then 7 days' written notice by email.
8.3 If it is still unpaid when the notice ends, we may pause your website until it is paid. We restore it within 1 business day of payment.
8.4 We do not charge a late fee. Your bank may charge you its own fees.
8.5 If your website has been paused for more than 30 days, we may end the care plan. Clause 6.5 then applies.
9. Price changes
9.1 We may change the care plan price by giving you at least 30 days' written notice. The new price only applies from the end of that notice period.
9.2 You can cancel before the new price starts, with no fee, and you pay nothing at the new price.
9.3 If the rate of GST changes, we pass that change on, and we tell you.
9.4 We will not reduce what the care plan includes without 30 days' written notice, and the right to cancel in clause 9.2 applies.
10. Your website and your content
10.1 You own your website and its content whether or not you keep the care plan. Cancelling does not change that.
10.2 If you are on a Payment Plan, ownership and the transfer of files follow clause 7 of the Build Terms. You own the website on payment in full, and we send your files and help you move once it is paid.
10.3 Our licence to show your finished website in our portfolio and marketing is in clause 7.6 of the Build Terms. It continues after you cancel.
10.4 You must have the right to use everything you give us, as set out in clause 6 of the Build Terms.
11. Your responsibilities
11.1 Keep your contact details and payment details up to date.
11.2 Give us accurate content and answer our questions promptly.
11.3 Keep any logins we give you safe, and tell us straight away if you think someone else has them.
11.4 Do not use your website for anything unlawful, misleading or harmful.
12. Data and privacy
12.1 Your website may collect information from your visitors, for example through its contact form. That information is yours.
12.2 We store and handle it only to run your website and pass it to you, and we keep it secure.
12.3 You are responsible for telling your visitors how you use their information, for example with your own privacy page, and for following the privacy laws that apply to your business.
12.4 If we find out about a data breach affecting information on your website, we tell you promptly, and within 2 business days, so you can meet your own obligations.
12.5 We follow the Australian Privacy Principles for personal information we hold about you. Our Privacy Notice explains how: solmedia.com.au/privacy.
13. Unforeseen events
13.1 Clause 12 of the Build Terms applies to the care plan. A delay or outage caused by something beyond our reasonable control, including illness and outages of platforms or AI services we rely on, is not a breach.
13.2 If your website is affected for more than 24 hours, we tell you what happened and when we expect it fixed. If an event stops us providing the care plan for more than 10 business days, you can cancel and we refund the part of the month you have paid for and not received.
13.3 This does not cover things we could reasonably have prevented or planned for.
14. Your consumer rights and our responsibility
14.1 Our services come with guarantees under the ACL that cannot be excluded, including that we provide services with due care and skill and within a reasonable time. Nothing in these terms excludes, restricts or changes them.
14.2 We use reasonable care to keep your website online. We cannot promise it will always be online or error-free.
14.3 Where the law allows, our responsibility for anything else is limited to the care plan payments you have made to us in the previous 12 months. We are not liable for indirect loss, such as lost profits.
15. Questions and complaints
15.1 Email mail@solmedia.com.au. We reply within 5 business days. You can also contact Consumer Affairs Victoria or the ACCC at any time.
16. General
16.1 Victorian law applies, and the courts of Victoria have jurisdiction.
16.2 If these terms and the Website Build Terms differ about hosting or the care plan, these Care Plan Terms apply. We do not change these terms for a care plan in progress without your written agreement, other than as clause 9 allows.
16.3 We give notices by email to the address in your quote. If part of these terms is found invalid, the rest still applies. A business day is Monday to Friday, excluding public holidays in Victoria.
